Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the TradeLasso service. These Terms govern Your access to and use of TradeLasso and form a binding legal agreement between You and the Company.


1. Interpretation and Definitions

1.1 Interpretation

The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

1.2 Definitions

For the purposes of these Terms and Conditions:

  • "Account" means a unique account created for You to access our Service.
  • "Company" (referred to as "the Company", "We", "Us" or "Our") refers to TradeLasso, a Wyoming-based entity.
  • "Content" means any text, graphics, images, data, information, software, or other materials displayed, uploaded, or made available through the Service.
  • "Paddle" refers to Paddle.com Market Limited, our authorized reseller and Merchant of Record for payment processing.
  • "Personal Data" has the meaning given in our Privacy Policy.
  • "Restricted Party" means any individual, entity, or organization that appears on government sanctions lists, watchlists, or restricted party lists.
  • "Screening Data" means the information aggregated from official government watchlists and sanctions lists that is made available through the Service.
  • "Service" refers to the TradeLasso website, platform, tools, features, and all associated services.
  • "Subscription" means Your paid access to the Service, either on a monthly or annual basis.
  • "User Content" means any Content that You upload, submit, post, or transmit through the Service.
  • "You" or "Your" means the individual or entity accessing or using the Service.

2. Acknowledgment and Agreement

2.1 Binding Agreement

These Terms constitute a legally binding agreement between You and the Company. By accessing or using the Service, You acknowledge that You have read, understood, and agree to be bound by these Terms.

2.2 Acceptance of Terms

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. If You disagree with any part of these Terms, then You may not access or use the Service.

2.3 Incorporated Policies

By agreeing to these Terms, You also agree to comply with:

  • Our Privacy Policy, which describes how We collect, use, and disclose Your Personal Data
  • Our Refund Policy, which outlines billing practices and refund conditions
  • Our Acceptable Use Policy (Section 8), which governs prohibited uses of the Service

3. Eligibility and Account Requirements

3.1 Age Requirement

You must be at least 18 years of age to use the Service. By accessing or using the Service, You represent and warrant that You are 18 years of age or older.

3.2 Legal Capacity

You represent and warrant that You have the legal capacity to enter into a binding contract, You are not prohibited by law from accessing the Service, and Your use does not violate any applicable laws or regulations.

3.3 Entity Representation

If You are using the Service on behalf of a company or organization, You represent and warrant that You have the authority to bind that entity to these Terms.

3.4 Geographic Restrictions

You represent and warrant that You are not located in a country subject to a United States government embargo, not designated as a "terrorist supporting" country, and not listed on any United States government list of prohibited or restricted parties.


4. Account Registration and Security

4.1 Account Creation

To access certain features, You must create an account. You agree to provide accurate, current, and complete information, maintain the security of Your credentials, and notify Us immediately of any unauthorized use.

4.2 Account Responsibility

You are responsible for all activities that occur under Your account. You agree to use a strong, unique password, not share Your credentials, and take reasonable steps to prevent unauthorized access.

4.3 One Account Per User

Creating multiple accounts to circumvent trial limitations, access restrictions, or other terms is strictly prohibited and may result in termination of all Your accounts.


5. Subscription Plans and Billing

5.1 Available Plans

  • Free Trial: 14 days, full Pro-level access, no credit card required
  • Monthly Subscription: $49/month, auto-renews unless canceled
  • Annual Subscription: $490/year (~$40.83/month), auto-renews unless canceled

5.2 One Active Subscription Per User

Each user account may have only one active subscription at a time. You may not hold multiple concurrent subscriptions. If You wish to change Your billing cycle (e.g., from monthly to annual), You must use the plan switching feature described in Section 5.6 rather than purchasing a new subscription.

5.3 Automatic Renewal

All paid subscriptions automatically renew at the end of each billing cycle unless You cancel before the renewal date. By subscribing, You authorize the Company (through Paddle) to charge Your payment method on a recurring basis.

5.4 Price Changes

We reserve the right to change subscription prices with at least 30 days' advance notice via email. The new price will apply to Your next billing cycle after the notice period. You may cancel before the new price takes effect.

5.5 Taxes

All prices are exclusive of applicable taxes unless otherwise stated. Paddle will calculate and collect applicable taxes based on Your billing address.

5.6 Plan Switching (Upgrades and Downgrades)

You may switch between billing cycles at any time through Your account dashboard:

  • Upgrading (Monthly to Annual): The change takes effect immediately. Paddle will calculate a pro-rated credit for the unused portion of Your current monthly billing cycle and apply it toward the annual subscription fee. You will be charged the annual rate minus this credit.
  • Downgrading (Annual to Monthly): The change takes effect at the end of Your current annual billing period. You will retain full access until Your annual period expires, after which monthly billing will begin. No refund is provided for the unused portion of the annual subscription.

Plan changes are processed through Paddle and are subject to Paddle's proration calculations.


6. Free Trial Terms

6.1 Trial Eligibility

New users are eligible for a 14-day fully functional free trial with no credit card required. The trial is available once per user or organization.

6.2 Trial Expiration

Upon conclusion of the 14-day trial, Pro features will expire, Your account will revert to a free tier, and You will not be charged unless You explicitly upgrade.

6.3 No Automatic Charges

We do not require a credit card for the free trial, and You will not be automatically charged at the end of the trial period.


7. Payment Processing via Paddle

7.1 Paddle as Merchant of Record

All payments are processed by Paddle.com Market Limited. When You purchase a subscription, the transaction is between You and Paddle. TradeLasso does not store or have access to Your full payment card details.

7.2 Paddle's Terms

By subscribing, You also agree to Paddle's Terms of Service and Privacy Policy, available at paddle.com/legal.

7.3 Tax Compliance

Paddle is responsible for calculating applicable taxes, collecting taxes at purchase, remitting taxes to authorities, and providing tax invoices and receipts.


8. Acceptable Use Policy

8.1 Lawful Use Only

You agree to use the Service only for lawful, legitimate business purposes in compliance with all applicable laws.

8.2 Prohibited Activities

You agree NOT to engage in any of the following:

  • Sanctions Evasion: Using the Service to assist sanctioned entities in evading restrictions or to facilitate illegal transactions
  • Data Scraping: Using bots, crawlers, or automated systems to extract Screening Data
  • Commercial Redistribution: Selling, reselling, or redistributing the Service or Screening Data without consent
  • Service Interference: Attempting to bypass security measures, gain unauthorized access, or disrupt the Service
  • Abuse: Creating multiple accounts, excessive use beyond reasonable limits, or impersonation
  • IP Violations: Violating any third party's intellectual property, privacy, or other rights

8.3 Consequences of Violations

Violations may result in immediate suspension or termination, denial of refund requests, legal action, and reporting to law enforcement.


9. Intellectual Property Rights

9.1 Company Ownership

The Service, including all Content, features, functionality, software, designs, and trademarks, is owned by the Company and protected by intellectual property laws.

9.2 Limited License

Subject to compliance with these Terms, You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service for Your internal business purposes. This license does not include rights to modify, copy, distribute, reverse engineer, or use the Service to build a competitive product.

9.3 Screening Data

While the underlying government data is public domain, Our compilation, organization, and delivery of such data is protected. You may not extract data in bulk, redistribute it, or use it to create a competing database.

9.4 Feedback

If You provide Feedback, You grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use such Feedback for any purpose.


10. Data Accuracy and Legal Disclaimer

10.1 "AS IS" Provision of Data

IMPORTANT: The Screening Data is provided "AS IS" and "AS AVAILABLE" with all faults and defects, without warranty of any kind. The Company does not warrant that the Screening Data is 100% accurate, complete, real-time, or free from omissions.

10.2 Not Legal Advice

USE OF THIS SERVICE DOES NOT CONSTITUTE LEGAL ADVICE. The Service is a tool to assist with compliance screening, but it does not replace professional legal counsel, independent due diligence, comprehensive compliance programs, or expert advice.

10.3 User Responsibility

You are solely responsible for Your final compliance decisions, conducting appropriate due diligence beyond screening results, verifying accuracy of results, and ensuring compliance with all applicable laws.

10.4 No Liability for Compliance Failures

The Company shall not be held liable for any trade violations, fines, penalties, enforcement actions, legal actions, business losses, or reputational harm resulting from Your use of or reliance on the Service.


11. User Content and Data

11.1 Ownership

You retain all ownership rights in Your User Content. By uploading Content, You grant the Company a limited license to use, store, and process it solely for providing the Service.

11.2 Responsibility

You are solely responsible for Your User Content and represent that You have the necessary rights to upload it and that it does not violate any laws or third-party rights.

11.3 Data Privacy

Our collection, use, and disclosure of Your Personal Data and User Content is governed by our Privacy Policy.


12. Third-Party Links and Services

The Service may contain links to third-party websites or services not owned or controlled by the Company. We have no control over and assume no responsibility for the content, privacy policies, or practices of third-party sites. Your use of third-party services is governed by their respective terms.


13. Service Availability and Modifications

13.1 No Guarantee of Availability

We do not guarantee the Service will be available at all times, be error-free, meet Your specific requirements, or that any errors will be corrected.

13.2 Modifications

We reserve the right to modify, update, or discontinue the Service at any time. We will make reasonable efforts to provide advance notice of material changes.

13.3 Force Majeure

We shall not be liable for failures or delays due to events beyond Our reasonable control, including natural disasters, acts of war, pandemics, government actions, third-party failures, or cyberattacks.


14. Termination and Suspension

14.1 Termination by You

You may terminate Your account at any time via account settings or by contacting support. You will not receive a refund for any unused subscription period.

14.2 Termination by the Company

We may suspend or terminate Your account immediately, without prior notice, for breach of Terms, violation of the Acceptable Use Policy, fraudulent activity, failure to pay, suspected illegal activity, or court order.

14.3 Survival

Sections relating to Intellectual Property Rights, Data Accuracy Disclaimers, Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law survive termination.


15. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, the Company disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.


16. Limitation of Liability

16.1 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Company's total liability shall not exceed the greater of: (a) the amount paid by You during the 12 months preceding the event, or (b) $100 USD.

16.2 Exclusion of Consequential Damages

In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, goodwill, or reputation, regardless of whether the Company was advised of such damages.


17. Indemnification

You agree to defend, indemnify, and hold harmless the Company from and against any claims, liabilities, damages, losses, costs, or fees arising out of Your use or misuse of the Service, violation of these Terms, violation of applicable laws, violation of third-party rights, Your User Content, or any compliance failures resulting from Your use of the Service.


18. Dispute Resolution

18.1 Informal Resolution

Before filing any formal legal action, You agree to first attempt to resolve any dispute informally by contacting the Company. We will attempt to resolve the dispute within 30 days.

18.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted individually (not as a class action) in Wyoming, United States.

18.3 Waiver of Jury Trial and Class Actions

TO THE EXTENT PERMITTED BY LAW, YOU AND THE COMPANY WAIVE ANY RIGHT TO A JURY TRIAL and agree that claims may only be brought in individual capacity, not as a class or representative action.

18.4 Opt-Out

You may opt out of arbitration by sending written notice within 30 days of first accepting these Terms through our contact page.


19. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any legal action shall be brought exclusively in Wyoming courts. EU consumers benefit from mandatory provisions of their local law.


20. Export Compliance and Sanctions

You acknowledge that the Service may be subject to export control laws. You agree to comply with all applicable export control laws and not to use the Service to export technology in violation of such laws, facilitate transactions with sanctioned parties, or assist any party in evading sanctions.


21. Severability and Waiver

If any provision is held unenforceable, the remaining provisions continue in full force. The failure of the Company to exercise any right shall not constitute a waiver of that right.


22. Entire Agreement

These Terms, together with Our Privacy Policy and Refund Policy, constitute the entire agreement between You and the Company regarding the Service and supersede all prior understandings.


23. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, We will provide at least 30 days' advance notice via email and a prominent notice on the Service. Your continued use after changes become effective constitutes acceptance.
